These Terms and Conditions ("Terms") govern your access to and use of the Maxibu platform, including the marketplace, logistics management system, escrow services, and Price Lock contract system operated by Maxibu Technologies Ltd. By creating an account or using our services, you agree to these Terms in full.

1. Definitions

"Platform" refers to the Maxibu web application, mobile application, and associated API services.

"Buyer" refers to any registered user purchasing building materials through the marketplace.

"Supplier" refers to any verified manufacturer or distributor listing products for sale on the platform.

"Fleet Partner" refers to any registered owner of trucks or logistics assets participating in the Maxibu delivery network.

"Driver" refers to an individual operating a vehicle assigned to the Maxibu logistics network.

"Escrow" refers to the payment holding mechanism managed by Maxibu between buyer payment and supplier receipt.

"Price Lock" refers to the contract pricing mechanism allowing buyers to fix material prices in advance.

2. Account Registration and Verification

To use Maxibu's core services, you must register an account and complete identity verification (KYC). You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials. You must notify Maxibu immediately of any unauthorised access to your account.

Maxibu reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

3. Marketplace Terms

Supplier responsibilities: Suppliers must accurately list product specifications, pricing, and availability. Suppliers are responsible for the quality, legality, and description accuracy of their listed products. Fraudulent or misleading listings will result in immediate account suspension.

Buyer responsibilities: Buyers must provide accurate delivery addresses and contact information. Buyers must fund escrow in full before orders are confirmed. Buyers must confirm delivery within 48 hours of GPS confirmation.

Order confirmation: An order is binding when escrow has been funded by the Buyer and accepted by the Supplier. Maxibu is not a party to the sale itself — we are the platform and escrow operator.

4. Escrow Services

Maxibu operates an escrow service to protect both Buyers and Suppliers in transactions. Buyer funds are held in a segregated escrow account and are not commingled with Maxibu's operating funds.

Escrow is released upon: (a) digital delivery confirmation by the Buyer; (b) automatic GPS-confirmed delivery after 48 hours without Buyer dispute; or (c) dispute resolution in the Supplier's favour.

Maxibu charges a platform fee on escrow transactions as disclosed at checkout. This fee is non-refundable on completed transactions.

5. Price Lock Contracts

Price Lock contracts are binding agreements between a Buyer and a Supplier, facilitated and enforced by Maxibu. Upon signing a Price Lock, both parties are committed to the agreed price, quantity, and delivery schedule.

Suppliers entering Price Lock contracts must hold or procure sufficient inventory to fulfil the locked quantity. Failure to fulfil at the locked price may result in financial penalties drawn from the Supplier's escrow deposit.

Buyers cancelling Price Lock contracts after the 24-hour cooling-off period may be liable for termination fees as specified in the contract terms.

6. Logistics and Fleet Terms

Fleet Partners registering vehicles agree that vehicles are roadworthy, legally registered, and properly insured. GPS tracking devices must remain installed and active on all registered vehicles.

Drivers are independent contractors and are not employees of Maxibu. Maxibu is not liable for accidents, injuries, or damages occurring during deliveries except where caused by platform system error.

Delivery SLAs are estimates and not guarantees. Force majeure events, including road closures, civil unrest, and natural disasters, excuse performance under these Terms.

7. Prohibited Activities

You may not use the Maxibu platform to: list counterfeit or prohibited materials; engage in price manipulation or collusion; launder money or conduct fraudulent transactions; harvest user data or attempt to reverse-engineer the platform; or create fake reviews or manipulate the supplier rating system.

Violation of these prohibitions will result in immediate account suspension and may be reported to relevant authorities.

8. Intellectual Property

The Maxibu platform, name, logo, and all associated technology are the intellectual property of Maxibu Technologies Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose. Nothing in these Terms grants you any right to use Maxibu's brand, trademarks, or technology beyond normal platform use.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Maxibu is not liable for: loss of profits or business; indirect, consequential, or special damages; loss arising from third-party supplier defaults; or losses arising from force majeure events.

Maxibu's aggregate liability to any user for any claim shall not exceed the total fees paid by that user to Maxibu in the 12 months preceding the claim.

10. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or use of the platform shall first be subject to good-faith mediation. Unresolved disputes shall be submitted to binding arbitration under the rules of the Lagos Court of Arbitration.

11. Amendments

Maxibu may update these Terms from time to time. Material changes will be communicated to registered users via email at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
